Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the acade.ai website, applications, APIs, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using the Service you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
2. The Service
acade.ai is an AI-assisted research and writing workspace designed for academic users. Features include, among others, literature discovery, reference management, document drafting, and a conversational research assistant powered by large language models ("LLMs").
We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We will use reasonable efforts to provide advance notice of material changes that affect paid users.
3. Eligibility & Accounts
- You must be at least 13 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service.
- You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
- You must provide accurate registration information and keep it up to date.
- One person may not maintain multiple accounts for the purpose of circumventing usage limits.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights).
- Submit academic work generated by the Service in violation of your institution's academic-integrity policy, or otherwise engage in plagiarism or research misconduct.
- Generate or disseminate content that is unlawful, harassing, defamatory, sexually explicit involving minors, or that incites violence.
- Attempt to reverse-engineer the Service, scrape it at scale, circumvent rate limits, or interfere with its operation or security.
- Use the Service to develop a competing AI model or service, including training another model on Service outputs.
- Upload content that contains malware or that you do not have the right to share.
5. AI-Generated Content
The Service produces output using LLMs. AI-generated content may be inaccurate, incomplete, biased, or out of date, and may fabricate citations or facts. You are solely responsible for reviewing, fact-checking, and verifying any output before relying on it, particularly for academic submission, publication, clinical, legal, or financial decisions. The Service is not a substitute for professional judgment.
To the extent permitted by applicable law and by the underlying model providers, you own the output you generate from your inputs. Identical or similar output may be generated for other users; you do not have exclusive rights to such output.
6. Your Content
You retain ownership of the documents, prompts, files, and other materials you provide to the Service ("Your Content"). You grant acade.ai a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely to operate, improve, and secure the Service for you.
We do not use Your Content to train foundation models without your explicit consent. Aggregated and de-identified usage data may be used to improve product quality.
You represent that you have all rights necessary to submit Your Content and that doing so does not violate any third-party right.
7. Plans, Billing & Refunds
Certain features are offered under free or paid plans (e.g., "Free", "Plus", "Ultra"). Plan inclusions, pricing, and usage limits are described at checkout. Paid subscriptions renew automatically at the then-current rate until cancelled.
Unless required by law, payments are non-refundable. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
8. Suspension & Termination
We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the Service or other users. You may stop using the Service and delete your account at any time.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Service or any AI output will meet your requirements or be error-free.
10. Limitation of Liability
To the maximum extent permitted by law, in no event will acade.ai, its affiliates, or their respective officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claims arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or USD $100, whichever is greater.
11. Indemnification
You agree to defend, indemnify, and hold harmless acade.ai and its affiliates from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to your use of the Service, Your Content, or your breach of these Terms.
12. Changes to These Terms
We may update these Terms from time to time. We will indicate the "Last updated" date at the top of this page and, for material changes, provide additional notice (such as via email or in-product banner). Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction in which acade.ai is incorporated, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the competent courts located there, except where you are entitled to mandatory consumer-protection rights in your country of residence.
